1. Association Registration

Yasmine Children's Foundation (YCR)
is an independent, non-profit association (Verein/Association) registered in Switzerland.

2. Legal Status & Non-Profit Purpose

Under Art. 60 ZGB, an association acquires legal personality as soon as its intention to exist as a corporate body is apparent from its articles of association. YCR is organized exclusively for charitable, educational, and humanitarian purposes.

Key Legal Characteristics:

• Non-Economic Purpose: The association does not pursue a primarily commercial goal but rather an idealistic (non-profit) mission.
• Legal Personality: The association holds rights and obligations, can conclude contracts, and owns property independently of its members.
• Member Liability: Members are not personally liable for the debts of the association; liability is limited to the association's assets (Haftung).
• Zero-Dependency Model: The association operates under the Swiss "Verein" framework, guaranteeing independence from governmental or intergovernmental bodies.

3. Governance & Organization

In accordance with the mandatory provisions of Swiss law (Art. 60 et seq. ZGB), the association is governed by the following organs:

• The General Assembly (Assemblée générale): The supreme governing body, responsible for approving the annual report, discharging the committee, and amending the statutes.
• The Committee/Board (Comité/Direction): Manages the day-to-day affairs and represents the association legally.
• Auditing Body (Revisionstelle): If required by law or statute, an external auditor reviews the accounts.

4. Commercial Registry Status (Registre du Commerce)

Under Art. 61 ZGB, an association is not strictly required to register in the Commercial Register unless it operates a commercial business. YCR currently operates without a commercial trade, focusing solely on humanitarian aid and green industrial non-commercial projects.

Status: Non-registered Association (Art. 60 ZGB) – Subject to cantonal tax exemptions for non-profits.
